Terms of service

These Terms apply to the GridPilot website and, unless replaced by specific written terms, to enquiries, quotes, orders, EV charging products, preliminary site assessments, planning, product configuration, app setup and support supplied by GridPilot.

By using the website, accepting a quote, paying a deposit, booking a service, or placing an order, you agree to these Terms.

GridPilot details

GridPilot EV Solutions is the registered trading name of, and is operated by, GridPilot EV Solutions Limited.

GridPilot's role and scope

GridPilot supplies EV charging products and may provide general product-selection guidance, preliminary site assessments, EV-ready planning, product configuration, app setup and related product support where expressly included in an accepted GridPilot quotation or booking.

GridPilot is not a licensed electrical worker and does not supply, contract for, invoice or physically carry out prescribed electrical work, electrical testing, connection, inspection or certification. Electrical installation is not included in a GridPilot product order or site-assessment booking.

Where requested, GridPilot may introduce the customer to an independent licensed electrical contractor or other specialist. Any introduced provider must independently inspect and confirm the site, provide their own quotation and contract, invoice the customer directly, and remain responsible for their own pricing, scheduling, technical decisions, workmanship, testing, certification, insurance and warranties. An introduction or reasonable communication assistance does not make that provider GridPilot's employee, agent, partner, joint venturer or subcontractor.

GridPilot's assessments, summaries, diagrams, budgets and recommendations are preliminary and advisory unless an accepted GridPilot quotation expressly identifies another non-electrical deliverable. They are not an electrical or engineering design, structural assessment, intrusive inspection, building inspection, consent approval, Certificate of Compliance, Electrical Safety Certificate, Record of Inspection, final installation quotation, or confirmation that a site is safe, compliant, buildable or ready for installation. Final feasibility, electrical capacity, circuit design, protection, cable route, installation method, testing, certification and price must be independently confirmed by the licensed electrical contractor and any other appropriately qualified specialist engaged directly by the customer.

Order-specific documents take priority

A written quote, proposal, scope, invoice, order confirmation, or signed agreement may contain additional or different terms. To the extent of an inconsistency, the most specific document accepted by both parties takes priority over these general Terms.

Consumer law

Nothing in these Terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded.

If both parties are in trade and products or services are acquired for business purposes, the parties may agree in writing to contract out of the Consumer Guarantees Act 1993 where it is fair and reasonable and legally permitted. Any such agreement must be expressly stated in the relevant accepted document.

Website content and errors

Website information is general and may change. GridPilot may correct errors in descriptions, specifications, availability, compatibility, pricing, freight, promotions, subscriptions, or platform fees before accepting an order.

Images may be illustrative. Product appearance, firmware, accessories, packaging, screens, cables, payment terminals, and optional features may differ.

Nothing on the website is a final electrical design, compliance certificate, engineering opinion, or fixed installation quote unless expressly stated.

Site assessments — preliminary and advisory only

A GridPilot site assessment is a preliminary product-selection and solution-planning service. It may be based on customer statements, photographs, video, plans, measurements, remote communication, visual observations, or other non-intrusive information. Unless expressly identified in writing, it does not include opening switchboards or walls, tracing concealed wiring or services, excavation, destructive testing, electrical testing, structural investigation, hazardous-material assessment, engineering calculations, or verification of council, network, landlord, or body-corporate records.

A site assessment cannot identify every concealed, latent, intermittent, inaccessible, or subsequently arising condition. Concealed wiring, pipes, drainage, reinforcing, asbestos, moisture, waterproofing, fire separations, ground conditions, structural limitations, network constraints, pre-existing defects, inaccurate plans, and changes occurring after the assessment may affect feasibility, cost, timing, and scope.

Before work begins, the responsible licensed electrical worker and any relevant builder, engineer, civil contractor, network provider, or other specialist must perform their own inspection and independently confirm final electrical capacity, circuit design, protection devices, cable route, installation method, structural and civil requirements, consents, safety, compliance, feasibility, and price. A contractor may reject, alter, or add to GridPilot's preliminary recommendation.

Customer information and responsibility

GridPilot's assessment and recommendations depend on the accuracy, completeness, and currency of information supplied by the customer and others. The customer must disclose relevant information including:

  • vehicle model, market origin, connector, adapters, and onboard charging capability;
  • property ownership, tenancy, easements, body-corporate rules, and required approvals;
  • electrical supply, switchboard, available capacity, known defects, prior work, and relevant certificates;
  • parking location, cable route, access, trenching, building, structural, waterproofing, fire-rating, or civil constraints;
  • intended users, operating hours, payment, reporting, network, and load requirements; and
  • future expansion plans.

To the extent permitted by law, GridPilot is not responsible for an inaccurate recommendation, additional cost, delay, or inability to proceed caused by information that is false, incomplete, outdated, withheld, or outside what GridPilot could reasonably identify through the agreed assessment scope. GridPilot may withdraw or revise a recommendation, product selection, budget, or scope if information is incomplete or inaccurate or if actual site conditions differ.

The customer is responsible for reviewing the quote, assessment scope, assumptions, product model, quantities, connector type, included accessories, exclusions, contractor requirements, and ongoing third-party fees before acceptance.

EV-ready renovation, civil works, and approvals

EV-ready planning may consider future charger locations, preliminary conduit pathways, cable routes, switchboard allowance, communications, load management, solar, batteries and future expansion. GridPilot's assessment and planning prices do not include electrical, building, civil, renovation or other contractor work.

Any resulting work—including switchboard work, supply upgrades, trenching, drilling, conduit installation, reinstatement, waterproofing, fire stopping, structural work, data cabling, connectivity work or remediation—must be independently inspected, scoped, quoted, contracted, invoiced and completed by the appropriately qualified provider engaged directly by the customer.

Claims concerning an independent provider's workmanship, damage, delay, abandonment, cost overruns, incomplete work, certification or warranty must ordinarily be pursued against that provider or its insurer. GridPilot is not responsible for independently contracted work merely because it provided preliminary planning, supplied equipment, introduced the provider or assisted communication. Nothing in this clause excludes responsibility for GridPilot's own acts, omissions or representations, or any obligation that cannot lawfully be excluded.

The customer and the responsible providers must determine and obtain all required building consents, resource consents, electricity-network approvals, permits, easements, landlord approvals, body-corporate approvals, property-owner approvals and other authorisations before work begins. A GridPilot assessment or recommendation is not evidence that an approval has been obtained or is unnecessary.

Independent electrical installation

GridPilot does not supply, contract for, invoice or physically carry out prescribed electrical work. EV charger installation, electrical testing, connection, modification, inspection, repair and certification must be carried out by appropriately qualified and licensed electrical workers in accordance with applicable New Zealand law, regulations, standards, codes and manufacturer instructions.

Any electrical contractor introduced by GridPilot is an independent provider engaged directly by the customer. The contractor must independently confirm final technical feasibility, site safety, electrical capacity, circuit and protection requirements, cable route, installation method, scope and price. The contractor provides their own quotation and contract, invoices the customer directly, and remains responsible for licensing, insurance, site safety, workmanship, testing, statutory compliance, certification and installation warranty.

The responsible licensed worker must issue the applicable Certificate of Compliance and Electrical Safety Certificate and, where required, arrange an independent inspection and Record of Inspection. Customers should retain those records and provide copies to GridPilot where reasonably required for product warranty, support, safety or recall purposes.

GridPilot does not control an independent contractor's availability, pricing, scope, timing or workmanship and does not guarantee that a contractor will accept a project or that preliminary information will match conditions found during the contractor's inspection. The contractor may reject, revise or add to any preliminary GridPilot recommendation.

Installation-related variations, additional work, complaints, damage claims and workmanship warranty requests must ordinarily be addressed directly with the electrical contractor. Nothing in this section excludes responsibility for GridPilot's own acts, omissions or representations, or any obligation that cannot lawfully be excluded.

The customer must not install, connect, open, modify, relocate, repair or energise a charger through an unqualified person. GridPilot may pause product support or require appropriate inspection and certification where records are unavailable or there are reasonable safety or compliance concerns, without limiting rights that cannot lawfully be excluded.

Product output and performance

A charger's maximum rating does not guarantee that every vehicle will receive that output. Actual charging depends on the vehicle, onboard charger, battery, connector or adapter, supply, installation, phase availability, load management, temperature, software, communications, and operating conditions.

Estimated charging times, savings, utilisation, revenue, payback, energy use, or solar contribution are indicative unless expressly guaranteed in writing.

Quotes and prices

Unless stated otherwise:

  • prices are in New Zealand dollars;
  • all prices displayed on the website include GST unless expressly stated otherwise;
  • quotes are valid for 30 days;
  • freight, electrical installation, upgrades, civil work, access equipment, subscriptions, SIM fees, backend fees, payment charges, merchant fees, third-party software, electrical commissioning and ongoing third-party support are excluded unless expressly stated otherwise; electrical installation is separately quoted, contracted and invoiced by the independent licensed electrical contractor engaged directly by the customer; and
  • supplier pricing, foreign exchange, freight, taxes, scope, or availability changes may require a revised quote before order acceptance.

Electronic acceptance and order acceptance

Where an acceptance checkbox is presented on a quote-confirmation page, booking page, shopping cart, or checkout, the customer must actively confirm:

I accept the Terms of Service, Site Assessment Terms, and Return Policy.

Selecting the checkbox and continuing constitutes electronic acceptance of the policies linked or made available at that point. The customer should review and retain a copy before proceeding. GridPilot may keep an electronic record of the acceptance, including the applicable policy version, date, time, order or booking reference, and related technical records. If the required acceptance is not provided, GridPilot may decline to complete the booking, quote acceptance, or order.

An online checkout, purchase order, quote acceptance, booking, or deposit is an offer to purchase and does not by itself mean that GridPilot has accepted the order or confirmed site feasibility. GridPilot accepts the relevant order or booking only when it issues an express confirmation or otherwise clearly accepts it.

Before acceptance, GridPilot may reject or cancel an order due to stock, supplier, pricing, compatibility, territory, safety, fraud, credit, export, technical concerns, incomplete information, or apparent site incompatibility. If GridPilot cancels after receiving payment, we will refund the amount paid for the cancelled portion.

Payment and suspension

Payment is due as stated at checkout, on the invoice, or in the accepted quote.

Where payment is overdue, GridPilot may, where lawful:

  • pause procurement, delivery, configuration, commissioning, platform setup, warranty administration, or non-urgent support;
  • retain undelivered products until payment;
  • revise project dates; and
  • recover reasonable debt-collection costs permitted by law and disclosed in the agreement.

GridPilot will not withhold action reasonably necessary to address an immediate safety risk or avoid a statutory obligation.

Ownership of products remains with GridPilot until full payment is received, unless otherwise agreed. Risk and delivery responsibility are governed by the agreed delivery arrangement and applicable law.

Customer delays

If the customer delays access, approvals, information, payment, site readiness, or contractor coordination, GridPilot may revise the schedule and recover reasonable additional storage, redelivery, remobilisation, supplier, or project costs where disclosed and lawful.

Shopify platform and system availability

GridPilot's online store is hosted on the Shopify e-commerce platform and may rely on Shopify, payment gateways, card networks, banks, internet, telecommunications, hosting, security, fraud-prevention, and other third-party systems. Shopify provides the platform technology but is not the seller, manufacturer, installer, or warrantor of products supplied by GridPilot. The contract for a GridPilot order is between the customer and GridPilot EV Solutions Limited unless expressly stated otherwise.

GridPilot will take reasonable steps to maintain access to its online store and to process orders, but does not guarantee continuous, uninterrupted, error-free, or completely secure availability. To the maximum extent permitted by law, GridPilot is not responsible for temporary downtime, delayed notifications, payment-authorisation failures, duplicate or incomplete submissions, checkout errors, data-transmission interruptions, or other technical failures caused solely by Shopify maintenance, a payment provider, a telecommunications or network failure, a cyber incident outside GridPilot's reasonable control, or another independent third-party system.

A website or checkout interruption does not by itself cancel an accepted order, extend a promotion, reserve stock, or confirm that payment or an order has been received. Customers should contact GridPilot if they are uncertain whether a transaction was completed. Nothing in this section limits any right or remedy that cannot lawfully be excluded or responsibility for GridPilot's own acts or omissions.

Manufacturer apps, software, connectivity, and third-party services

A charger's app, firmware, cloud platform, OCPP service, payment function, merchant service, SIM, communications service, remote monitoring, smart-charging feature, or other digital function may be developed, hosted, licensed, supplied, updated, or controlled by the manufacturer or another independent third party. GridPilot does not develop or independently control those services unless expressly stated otherwise.

Use may require the customer to create a third-party account, accept separate terms and privacy policies, maintain compatible hardware and software, provide internet or cellular connectivity, install updates, and pay disclosed one-off or recurring fees. Functionality may depend on the charger model, vehicle, region, mobile operating system, Wi-Fi, Ethernet, cellular coverage, third-party servers, subscriptions, APIs, and continued manufacturer support.

GridPilot does not warrant uninterrupted or error-free operation of an independent third-party service and is not responsible for an outage, cyber incident, data loss, feature change, withdrawal, compatibility change, pricing change, or service discontinuation caused solely by an independent third party and outside GridPilot's reasonable control. GridPilot may provide reasonable initial set-up or liaison assistance but is not the operator of the manufacturer's app or cloud service and does not promise ongoing software support unless included in writing.

Customers must not provide GridPilot with passwords or complete payment-card credentials. Where diagnostic access or logs are required, the customer must use an authorised sharing or support method where available.

These provisions do not limit rights that cannot lawfully be excluded, including any rights arising where GridPilot expressly represented that a particular material feature was included or where a GridPilot-supplied product does not comply with an applicable statutory guarantee.

Product care and authorised work

The customer must use, inspect, and maintain products in accordance with manufacturer instructions and must not permit unqualified persons to open, modify, relocate, repair, or energise electrical equipment.

The customer must promptly stop using and isolate equipment where safe to do so if there is visible damage, overheating, exposed wiring, water ingress, unusual noise or smell, repeated tripping, or a safety warning.

Manufacturer warranty, statutory rights, and warranty assistance

Products may include a warranty supplied by the relevant manufacturer. The warranty period, geographic coverage, registration requirements, exclusions, available remedies, parts, labour, travel, freight, removal, reinstallation, software support, and response times are governed by the manufacturer's warranty documentation, subject to applicable law.

GridPilot is not the manufacturer and does not independently promise that the manufacturer will approve a claim. GridPilot may provide reasonable assistance by collecting information, carrying out preliminary troubleshooting, or forwarding a claim, but the manufacturer may require serial numbers, photographs, videos, diagnostic logs, proof of purchase, installation records, electrical certificates, installer testing, return of the product, or its own assessment.

A manufacturer's warranty is additional to, and does not replace, rights or remedies that cannot lawfully be excluded. Nothing in these Terms requires a consumer to pursue only the manufacturer or prevents a consumer from contacting GridPilot about a GridPilot-supplied product.

A manufacturer product warranty does not ordinarily cover installation workmanship, site wiring, switchboards, protection devices, civil work, customer-supplied connectivity or vehicle faults. Installation-related concerns must ordinarily be addressed directly with the independent contractor that quoted, contracted and invoiced the work. Warranty exclusions may include misuse, unauthorised work, incorrect or non-compliant installation, inadequate maintenance, external electrical events, accidental damage, vandalism, environmental exposure outside the product rating, unsupported modifications and failure to follow manufacturer instructions. These arrangements do not remove statutory rights that apply to products or services supplied by GridPilot.

Where diagnosis shows that the product is not faulty and the issue arises from installation, site supply, vehicle compatibility, customer systems, communications coverage, or another external cause, reasonable pre-disclosed assessment, freight, technician, or call-out costs may be payable to the extent permitted by law.

Delays outside reasonable control

GridPilot is not responsible for delay caused by events outside reasonable control, including supplier shortages, freight disruption, severe weather, natural disaster, power or network outage, industrial action, regulatory action, border delay, or third-party platform failure.

We may revise delivery or project dates and will take reasonable steps to communicate material delays.

Intellectual property

GridPilot and its licensors retain ownership of website content, proposals, assessment formats, graphics, photographs, layouts, branding, and original materials.

Customers may use project-specific documents internally for the relevant project but may not resell, publish, copy for another site, remove branding, or commercially exploit them without written permission.

Third-party product names and trademarks belong to their owners.

Acceptable use

You must not misuse the website, attempt unauthorised access, introduce malicious code, scrape content, impersonate another person, submit fraudulent orders, or use our systems unlawfully.

GridPilot may restrict access, cancel suspicious transactions, preserve evidence, and report suspected unlawful activity where appropriate.

Liability

Nothing in these Terms limits liability or remedies that cannot lawfully be limited.

To the maximum extent permitted by law, GridPilot is not liable for indirect, consequential, special, or loss-of-profit claims arising from general website use, customer delay, third-party systems, or matters outside our reasonable control.

Where liability can lawfully be limited, GridPilot's aggregate liability relating to an affected product or service will not exceed the amount paid to GridPilot for that affected product or service. This limitation does not apply where prohibited by law, or to fraud or wilful misconduct.

Customer-provided content

The customer warrants that they are authorised to provide photographs, plans, personal information, vehicle data, and property information supplied to GridPilot. GridPilot may rely on that material for the agreed purpose.

Complaints and disputes

Nothing in this clause prevents either party from using rights available through the Disputes Tribunal, courts, regulators, or consumer agencies.

Governing law

These Terms are governed by New Zealand law. New Zealand courts and tribunals have non-exclusive jurisdiction, subject to applicable consumer rights.

Changes

GridPilot may update these website Terms. The terms applying to an accepted order are those in effect or supplied when the order was accepted, together with any later change agreed by the parties or required by law.
